Terms of Use
These Terms govern your use of the Backgrind desktop application and the backgrind.com website (the "Service"). By using the Service you agree to these Terms. If you don't agree, don't use the Service.
1. The Service
Backgrind is a desktop overlay that runs AI coding agents in a window on top of other applications. It wraps your own command-line agent and/or our hosted model, and provides a terminal, file viewer, and notifications.
2. Your account
Some features require an account. You're responsible for keeping your credentials secure and for activity under your account. You must be old enough to form a binding contract in your jurisdiction.
3. License
We grant you a personal, non-exclusive, non-transferable license to install and use the client on devices you control, subject to these Terms and your plan. You may not resell, sublicense, or redistribute the Service except as permitted by its license.
4. Acceptable use
- Don't use the Service to break the law or infringe others' rights.
- Don't attempt to bypass billing, rate limits, or tier gating.
- Don't use it to attack, overload, or reverse-engineer our infrastructure beyond what the law allows.
- You are responsible for complying with the terms of any game or third-party software you run alongside Backgrind. Backgrind is a standard always-on-top window and does not read game memory or inject input, but acceptable-overlay rules vary by title.
5. Your content
You keep all rights to your code, prompts, and projects. We claim no ownership over them. In bring-your-own-CLI mode your content does not pass through our servers; see the Privacy Policy.
6. Third-party agents and models
When you connect a third-party CLI or provider (e.g. Anthropic, OpenAI, your own keys), your use of those services is governed by their terms, and you're responsible for any costs and compliance there. We are not responsible for third-party outputs.
7. Plans, billing, and refunds
Paid plans are billed through our payment provider, Lemon Squeezy, on a recurring basis until cancelled. You can cancel anytime; access continues until the end of the paid period. Taxes may apply. Refunds are handled per our refund practices and applicable law.
8. Beta and changes
The Service is under active development and may change, and early-access features may be unstable or removed. We may modify or discontinue features over time.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. AI output may be inaccurate — review changes before relying on them.
10. Limitation of liability
To the maximum extent permitted by law, Backgrind will not be liable for indirect, incidental, or consequential damages, or for lost data or profits. Our total liability for any claim is limited to the amount you paid for the Service in the 12 months before the claim.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or to comply with the law.
12. Disputes
Backgrind is an independent project. We aim to resolve any issue in good faith — just email us first. Mandatory consumer-protection rights in your country of residence still apply.
